Terms of Service
Belmetio is a managed cabinetry manufacturing service operated by Infurnia Technologies Private Limited ("Belmetio", "we", "us"). These terms govern the manufacture and supply of cabinetry panels and related services to trade customers ("you", "the Client").
These terms apply to every quotation, order and delivery unless varied by a signed written agreement between us.
1. Who we serve
1.1 Belmetio supplies trade customers only — interior design firms, design-and-build firms, studios, architects, contractors and developers. We do not sell to consumers and do not contract with, quote to, or invoice end customers.
1.2 Your relationship with your own client is yours alone. We are not a party to it, and nothing in these terms creates any obligation between Belmetio and your client.
1.3 Designs must originate in Infurnia. Belmetio manufactures from designs created in the Infurnia platform. Instant pricing, live material availability, production design and panel-level quality control all depend on the design originating there, and we are unable to offer them otherwise.
1.4 We may accept or decline any project at our discretion. A quotation is an invitation to proceed, not an acceptance of the order. We may decline or discontinue a project — including after quotation — where it falls outside our manufacturing scope, materials cannot be procured on acceptable terms, the design is not manufacturable to our standards, capacity is unavailable, or payment or conduct terms are not met. Where we decline after payment, amounts received are refunded except to the extent of materials already committed.
1.5 Service area. We currently serve Bengaluru and the surrounding area. Serviceability is confirmed against the delivery address before an order is accepted.
2. Scope of supply
2.1 We supply finished cabinetry panels — cut, edge-banded, drilled, finished, labelled and packed — delivered to your site.
2.2 Unless expressly stated in the quotation, our supply does not include installation, assembly, site carpentry, electrical or plumbing work, site measurement, or removal of packaging and waste.
2.3 Straight panel work means standard flat panel manufacture. Custom routing, post-formed profiles, curved components, PU and spray-finished work, and solid timber are outside straight panel work. We may quote for such work separately, on lead times stated in that quotation.
3. Production design and quotation
3.1 Once your design is broadly finalised in Infurnia, our production designer works with you to convert it into machine-readable production files. This stage establishes construction details, materials, edge banding, drilling, grain direction and nesting.
3.2 Design changes made during production design are absorbed into it. Production design is complete when we and you agree the production files are final.
3.3 A binding quotation and bill of materials are issued only after production design is complete, because exact quantities are knowable only then. Prices quoted before that stage are indicative.
3.4 You review and consent to the exact bill of materials and commercial terms before payment. Consent is recorded against the specific design revision. That revision — and nothing else — is what we manufacture.
3.5 Quotations are valid for the period stated on them, and lapse automatically after it.
4. Prices, payment and taxes
4.1 Prices are as stated in the accepted quotation and are exclusive of GST and other applicable taxes and levies, which are charged at the prevailing rate.
4.2 An advance of 70% of the order value is payable on placing the order. The balance is payable before dispatch unless otherwise agreed in writing.
4.3 We do not extend credit by default. Any credit terms are by prior written approval, subject to limits we set.
4.4 Production is not released until the applicable payment conditions are satisfied.
4.5 Amounts unpaid when due may attract interest at the rate stated in the invoice, and we may suspend production or dispatch on any order while amounts remain overdue.
5. Delivery and the seven-day delivery credit
5.1 Order Date means the date on which the advance payment under clause 4.2 is received in cleared funds and the design is locked. Day 1 is the day following the Order Date.
5.2 We deliver the order panels to your site within seven (7) days of the Order Date.
5.3 Delivery credit. Where delivery is later than seven days from the Order Date, we credit you ₹5,000 for each day of delay, up to a maximum of ₹25,000 per order. This credit applies where all of the following are true:
- (a) the order is for straight panel work as defined in clause 2.3;
- (b) the order value is ₹5,00,000 or more;
- (c) the design was created in Infurnia and our production designer was engaged under clause 3.1;
- (d) the advance under clause 4.2 has been received; and
- (e) none of the circumstances in clause 5.6 applies.
We manufacture and deliver orders below ₹5,00,000 and orders outside straight panel work on the lead times stated in the quotation; the delivery credit in this clause does not apply to them.
5.4 Remanufactured panels. Panels that fail our quality inspection and are remanufactured may be delivered within ten (10) days of the Order Date, provided such panels do not exceed five percent (5%) of the order. Delay beyond that is credited under clause 5.3.
5.5 How the credit is applied. Credits are applied automatically against the balance payable on the same order and require no claim, notice or request from you. Where the balance payable is insufficient to absorb the credit in full, we pay the remainder by bank transfer within seven days of delivery, or set it off against a subsequent order placed within ninety days, at your election.
5.6 When the seven-day commitment does not run. The commitment in clause 5.2 and the credit in clause 5.3 do not apply, and the delivery timeline restarts or is suspended accordingly, where:
- (a) you revise the locked design after the Order Date — any revision establishes a new Order Date on re-consent and re-payment of any additional amount;
- (b) the site is not ready or not accessible to receive delivery on the scheduled date, or delivery is deferred at your request;
- (c) amounts due from you remain unpaid;
- (d) you have not provided information, approvals or site access we have reasonably requested; or
- (e) an event under clause 13 (force majeure) intervenes.
5.7 The delivery credit is your sole and exclusive remedy for late delivery.
6. Materials
6.1 Materials are supplied from our catalogue, for which availability and price are confirmed at the time of quotation. Materials outside the catalogue may be quoted separately, on lead times stated in that quotation.
6.2 Timber, veneer, laminate and other natural or batch-manufactured materials vary in grain, tone and texture between batches. Variation within manufacturer tolerance is not a defect.
6.3 Where a specified material becomes unavailable after consent, we will propose a substitute. No substitute is used without your written approval; if you do not approve one, clause 5.6(a) applies to any resulting change.
7. Quality
7.1 Every panel is manufactured against the consented production design and inspected before dispatch for dimensional accuracy, drilling, edge and surface condition.
7.2 Panels that fail inspection are remanufactured before dispatch, subject to clause 5.4.
7.3 Where our process records material at the lamination stage, those records are made available to you for the relevant order.
8. Delivery, inspection and acceptance
8.1 We deliver to the site address stated in the order. You are responsible for site access, a safe and lawful unloading point, and any permissions, lifts or manpower required beyond kerbside unloading, unless otherwise agreed in the quotation.
8.2 Risk in the goods passes to you on delivery to site. Title passes on receipt of payment in full.
8.3 You or your representative must inspect the consignment at delivery and record any shortage or visible damage on the delivery acknowledgement at that time. Shortages and transit damage must be reported within forty-eight (48) hours of delivery, with photographs. Claims made later cannot be verified against our dispatch records and may not be accepted.
8.4 Delivery may be made in phases where the order or site requires it.
8.5 Goods must be stored flat, dry and protected until installed. We are not responsible for damage, warping or swelling caused by site storage conditions.
9. Changes and cancellation
9.1 Any change to a consented design after the Order Date is a new revision, requiring re-validation, re-quotation and re-consent. Clause 5.6(a) applies.
9.2 Changes may not be possible once production has passed the relevant stage. We will tell you what remains changeable when you request a change.
9.3 On cancellation after the Order Date, amounts paid are refundable except to the extent of materials committed or consumed, production completed, and third-party costs incurred and non-recoverable.
10. Warranty
10.1 Conformance. We warrant that each panel supplied conforms to the consented production design in dimensions, drilling, materials and finish specification, and that the materials billed are the materials used. This warranty is supported by our inspection and material records.
10.2 Manufacturer warranties. Boards, laminates, hardware and other bought-in components carry their manufacturer's warranty. We administer claims against those warranties on your behalf; you do not need to approach the manufacturer directly.
10.3 What is not covered. This warranty does not cover: installation workmanship or damage arising during installation; alteration, cutting, drilling or refinishing carried out after delivery; site storage conditions, moisture, water contact or structural movement; normal wear; damage from misuse, impact or unsuitable cleaning agents; and variation within material tolerance as described in clause 6.2.
10.4 How to claim. Report a warranty issue with photographs and the order reference. We will assess it against the production and inspection record for the panels concerned and tell you the outcome and the remedy.
10.5 Our obligation under this warranty is, at our option, to repair, remanufacture or credit the affected panels.
11. Intellectual property and confidentiality
11.1 Your designs remain yours. We use them solely to quote, produce production files, manufacture and deliver your order, and to meet our obligations under these terms.
11.2 We keep your project information confidential and disclose it to partner factories and logistics providers only to the extent required to fulfil your order.
11.3 We may use anonymised, non-identifying process and performance data derived from orders to operate and improve our manufacturing, quality and scheduling systems.
11.4 We will not publish images, case studies or client names without your prior written consent.
12. Liability
12.1 Our total liability in connection with any order is limited to the value of that order.
12.2 We are not liable for indirect or consequential loss, including loss of profit, loss of contract, site delay costs, or liabilities you owe to your own client, however arising.
12.3 Nothing in these terms excludes liability that cannot be excluded under applicable law.
13. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural events, fire, flood, epidemic, strike, civil disturbance, transport disruption, statutory restriction, or failure of utilities or public infrastructure. Timelines, including clause 5.2, are extended by the duration of the event.
14. General
14.1 These terms, together with the accepted quotation and the consented bill of materials, form the entire agreement between us for that order.
14.2 We may update these terms. The version in force is the one published on this page on the date of your order.
14.3 These terms are governed by the laws of India, and the courts at Bengaluru have exclusive jurisdiction.
